The Transactions with Related parties Procedure establishes the rules governing the approval and execution of related party transactions carried out by Pirelli directly or through subsidiaries that are of greater importance - that is, transactions that exceed the thresholds set out in Annex 3 of the Procedure with Related Parties Transaction Regulation or that, while not exceeding these thresholds, by their nature, strategic significance, entities or commitments have a significant impact on the activity of the Company or the Group, or may affect the autonomy management of the Company (so called transactions of strategic importance) - that is, less significant (i.e. transactions with related parties different from the most significant transactions and the small amount transactions).
According to Consob Regulation no. 17221/2010, the procedure was approved by the Board of Directors, following the favorable opinion expressed by the Committee for Transaction with Related Parties, at the meeting held on 6 November 2017, confirming entirely the text approved by the Board of Directors in the meeting held on 31 August 2017.
